Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Urio's website, application, and related services (collectively, the "Services"). The Services are provided by Teamworks LLC, a Delaware limited liability company, doing business as Urio ("Urio," "we," "us," or "our").

By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree to these Terms, you may not use the Services.

If you are using the Services on behalf of a company, property-management business, or other organization, you represent that you have the authority to bind that organization to these Terms. In that case, "you" includes both you and the organization you represent.

PLEASE NOTE: Section 24 contains a binding arbitration provision and class-action waiver that affect how disputes between you and Urio are resolved. Please review it carefully.

1. What Urio Is

Urio is an AI-powered work assistant designed to help property managers and other users perform, organize, and automate work. Depending on the features you use, Urio may help you:

2. Eligibility and Accounts

You must be at least 18 years old to create an account and use the Services.

When creating an account, you agree to provide accurate and complete information and to keep that information up to date.

You are responsible for:

You may not share your account credentials with another person or allow another person to access your account except where the Services expressly allow you to do so.

You represent that you are not located in, and will not use the Services in, a country or region subject to comprehensive U.S. trade sanctions, and that you are not on any restricted-party or denied-persons list maintained by the U.S. government or other applicable authority.

We may suspend or terminate accounts that violate these Terms or create a security, legal, or operational risk.

3. Your Information and Content

You may provide information, documents, messages, instructions, property information, reservation information, and other content to Urio ("Your Content"). You retain ownership of Your Content.

You grant Urio a limited, non-exclusive license to access, use, process, store, reproduce, and transmit Your Content as reasonably necessary to:

Urio does not use Your Content to train generalized AI models. Our use of Your Content in connection with AI functionality is described in our Privacy Policy.

This license continues after your account is closed only to the extent reasonably necessary for backups, legal compliance, dispute resolution, or as otherwise described in our Privacy Policy. It does not authorize any new or additional use of Your Content after closure.

You represent that you have all rights, permissions, and authority necessary for Urio to process Your Content as described in these Terms. This is particularly important when Your Content contains information about guests, customers, employees, contractors, or other individuals.

4. Third-Party Integrations

Urio may allow you to connect your account to third-party services, including property-management systems, booking platforms, calendars, email services, messaging platforms, and other tools.

When you connect a third-party service:

Third-party services are governed by their own terms and privacy policies.

You can disconnect an integration at any time. However, information previously accessed or processed by Urio may remain subject to our data-retention practices.

5. AI Services and Outputs

Urio uses artificial intelligence and related technologies to provide certain features of the Services. AI systems may generate text, recommendations, classifications, summaries, decisions, or other outputs based on Your Content and information available through your connected services ("AI Output").

Certain AI features of the Services are provided using third-party AI model providers acting as our service providers, as described in our Privacy Policy.

AI Output may not always be accurate

AI Output may contain errors, omissions, outdated information, or inappropriate recommendations. You are responsible for reviewing AI Output before relying on it where review is appropriate. This is particularly important when AI Output:

Urio does not guarantee that AI Output will always be accurate, complete, appropriate, current, or suitable for a particular purpose.

Actions performed by Urio

Depending on the functionality you enable, Urio may perform actions based on your instructions, including communicating with guests or service providers, creating tasks, or updating information in connected systems.

You are responsible for determining which actions Urio is authorized to perform and for reviewing important actions and results. You understand that automated actions may produce unintended results, including incorrect communications, updates, or other actions.

You should not rely on Urio as a substitute for your own judgment or human review where such review is reasonably necessary.

Beta and experimental features

We may make beta, preview, or experimental features available before general release ("Beta Features"). Beta Features are provided for evaluation purposes and may:

Beta Features are provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. We may collect feedback and usage information relating to Beta Features to evaluate and improve them.

6. Your Responsibilities

You agree to use the Services responsibly and in compliance with applicable laws and third-party platform rules.

If you use the Services to send communications to guests, customers, or other individuals — including by SMS, messaging platforms, email, or voice — you represent and warrant that you have obtained all consents, provided all notices, and satisfied all other requirements under applicable law (including telemarketing, anti-spam, and telephone-consumer-protection laws) necessary for those communications to be sent, and you acknowledge that you are the sender of those communications for purposes of such laws.

You remain responsible for your property-management business and for decisions made based on information, recommendations, or actions provided or performed by Urio.

7. Acceptable Use

You may not use the Services to:

8. Subscriptions and Fees

Certain features of the Services may require a paid subscription. Current pricing, subscription options, billing periods, and applicable usage limits will be presented to you before you purchase a subscription.

By purchasing a subscription, you authorize Urio or its payment provider to charge the applicable fees using your selected payment method.

9. Free Trials and Promotional Offers

Urio may offer free trials, promotional pricing, credits, or other incentives from time to time. The terms of any trial or promotion will be presented when you sign up.

If a free trial converts into a paid subscription, you will be charged according to the terms presented when you started the trial.

10. Intellectual Property

The Services, including Urio's software, interface, branding, designs, documentation, and underlying technology, are owned by or licensed to Urio and are protected by applicable intellectual-property laws.

Except for the limited rights expressly granted in these Terms, you receive no ownership rights in the Services. You may use the Services only for their intended purpose and in accordance with these Terms.

You may provide feedback, suggestions, or ideas about Urio. You agree that we may use such feedback without restriction or compensation to you.

11. Urio's Right to Improve the Services

We continuously develop and improve Urio. We may:

12. Availability and Service Interruptions

We aim to make the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. The Services may occasionally be unavailable due to:

We are not responsible for losses caused solely by interruptions or failures of third-party services that Urio depends on.

13. Third-Party Services

The Services may integrate with or contain links to third-party services. Urio does not control third-party services and does not guarantee their availability, accuracy, security, or functionality.

Your use of third-party services is governed by the applicable third party's terms and policies.

If a third-party integration becomes unavailable or changes its API, permissions, pricing, or functionality, Urio may be unable to continue providing some related functionality.

14. Disclaimer of Warranties

Urio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

15. Limitation of Liability

To the maximum extent permitted by law, Urio and its officers, directors, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Services.

To the maximum extent permitted by law, Urio's total liability arising out of or related to the Services or these Terms will not exceed the greater of:

  1. The amount you paid to Urio for the Services during the twelve months before the event giving rise to the claim; or
  2. $100.

The limitations in this Section apply regardless of the legal theory on which a claim is brought, including contract, tort, negligence, strict liability, or any other theory, to the maximum extent permitted by law.

These limitations do not apply where prohibited by applicable law.

16. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Urio and its officers, directors, employees, affiliates, and service providers from claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising from or related to:

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate with us in that defense.

17. Suspension and Termination

You may stop using the Services at any time.

We may suspend or terminate your access if:

Where reasonably possible, we will provide notice before suspending or terminating your account, except where immediate action is necessary to protect the Services, our users, or others.

Upon termination, your right to use the Services will end. If you have a paid subscription, termination or cancellation does not automatically entitle you to a refund unless required by law or expressly stated otherwise.

Sections that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, confidentiality, and disputes.

18. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy.

If you use Urio on behalf of a business and provide personal information about guests, customers, employees, contractors, or other individuals, additional terms may apply, including a Data Processing Agreement.

19. Business Customers and Data Processing

If you use Urio as part of your business, you may provide us with information about other individuals. You are responsible for ensuring that you have the appropriate rights, permissions, notices, and authority to provide that information to Urio and to instruct us to process it.

Where applicable, our processing of personal information on your behalf will also be governed by a separate Data Processing Agreement ("DPA"). If there is a conflict between these Terms and a DPA regarding the processing of personal information on your behalf, the DPA will control to the extent of that conflict.

20. Confidentiality

If you receive confidential information from Urio in connection with your use of the Services, you agree not to disclose or use that information except as necessary to use the Services or as otherwise permitted by us.

Similarly, Urio will treat non-public information you provide to us as confidential and will use it only as necessary to provide and improve the Services, except where disclosure is required by law or otherwise permitted under these Terms.

This confidentiality obligation does not apply to information that:

21. Export Control and Sanctions

The Services may be subject to U.S. export control and economic sanctions laws. You agree that you will not use, export, re-export, or transfer the Services in violation of applicable export-control or sanctions laws.

You represent that you are not identified on any applicable government list of prohibited or restricted parties and are not located in a country or region subject to comprehensive U.S. sanctions.

22. Electronic Communications and Notices

You consent to receive communications from Urio electronically, including by email, through the Services, or by posting notices on our website. You agree that electronic communications satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

23. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. The Federal Arbitration Act governs the interpretation and enforcement of Section 24 (Dispute Resolution; Arbitration; Class-Action Waiver).

For any dispute that is not subject to arbitration under Section 24, you and Urio consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

24. Dispute Resolution; Arbitration; Class-Action Waiver

Please read this Section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.

Informal resolution first

Before filing a claim, you agree to first contact us at legal@urio.ai with a description of the dispute and give us at least 30 days to attempt to resolve it informally. Most disputes can be resolved this way. Urio agrees to do the same before initiating a claim against you.

Binding arbitration

If a dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its applicable rules, rather than in court. The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement, except that a court will decide any question regarding the enforceability of the class-action waiver below.

The arbitration will be conducted in English. Where an in-person hearing is required, it will take place at a mutually agreed location or as determined under the applicable AAA rules. Judgment on the arbitration award may be entered in any court with jurisdiction.

Exceptions

Either party may: (a) bring an individual claim in small-claims court if it qualifies; and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

Class-action waiver

You and Urio each agree that disputes will be resolved only on an individual basis, and not as a plaintiff or class member in any purported class, consolidated, collective, or representative proceeding. The arbitrator may not consolidate more than one party's claims or preside over any form of class or representative proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court, and the remainder of this Section will continue to apply.

Opt-out

You may opt out of this arbitration agreement by emailing legal@urio.ai within 30 days of first accepting these Terms, stating your name, account email, and your intent to opt out of arbitration. Opting out of arbitration does not affect any other provision of these Terms.

Severability

If any portion of this Section is found unenforceable, the remaining portions will remain in effect, except as stated in the class-action waiver above.

25. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice before the updated Terms take effect, such as by email, through the Services, or by posting the updated Terms on our website.

Your continued use of the Services after the updated Terms take effect means that you accept the revised Terms.

26. General Terms

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

These Terms do not create any third-party beneficiary rights, except as expressly stated.

Section headings are for convenience only and do not affect the interpretation of these Terms.

These Terms constitute the entire agreement between you and Urio regarding the Services and supersede prior agreements relating to the same subject matter, except for any separate agreements expressly incorporated into these Terms.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except as permitted by law. Urio may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets.
